The goods and services trade between the U.S. and Japan amounted to an estimated $270.7 billion in 2016 , and this number is still increasing. The purpose of this book is to assist lawyers and corporate legal staff in efficiently drafting and reviewing contracts for those transactions.
Contracts assist the parties in achieving their goals by setting forth a roadmap which clarifies their goals and the paths they should or should not follow. Contracts can be even more useful in cross-border transactions since those transactions are comparatively complex and bear additional risks due to the diversity of the parties and applicable laws.
However, in practice, there are still many companies in the U.S. and Japan, particularly of small and medium size, which are reluctant to enter into international transactions due to their complexity and the burden of hiring professionals to clarify their risks.
This book assists these companies in expanding their business abroad by (i) clarifying the legal risks imposed in U.S.-Japan transactions; (ii) providing them with the legal options which they have in order to achieve their goals; and (iii) automating the process of contract drafting and reviewing by using an artificial intelligent robot (“MiBot”) .
As for (i) above, this book explains the legal background of international contracts not only from the U.S. legal perspective but also from the Japanese legal perspective and the international perspective by using international treaties such as the United Nations Convention on Contracts for the International Sale of Goods (“CISG”).
As for (ii) above, this book provides sample provisions from both the seller’s perspective and the buyer’s perspective and summarizes the provisions in diagrams so as to make the parties aware of their legal options before they make any decisions regarding such contracts.
As for (iii) above, MiBot drafts contracts by reflecting the information collected from the users and other sources. MiBot also reviews contracts by comparing the contract drafted by MiBot with the contract obtained by the other party.
As for myself, having grown up in Japan, Mexico, Spain and the U.S. and having benefited by the people in each country, it is my aim and happiness to assist companies in achieving their goals in the global field through MiBot and this book.
